Commercial Terms.
These Terms of Service govern your access to and use of Sloydlabs website, engineering consultations, and digital work products.
Contractual Agreement
By accessing or browsing this website or engaging SloydLabs Technologies for software engineering services, you agree to be bound by these Terms of Service. If you are entering into an agreement on behalf of an entity, you represent that you possess legal authority to bind that entity.
Work Product & Ownership
Client Deliverables: All bespoke software artifacts, source code, data schemas, and UI components built specifically for a client under an executed Statement of Work (SOW) become the property of the client upon full payment.
Pre-Existing Tools & Frameworks: Sloydlabs retains ownership of its proprietary development templates, internal workflow scripts, boilerplates, and open-source contributions utilized during production. Clients receive a perpetual, non-exclusive license to utilize these integrated dependencies.
Engineering Warranties
We warrant that software delivered under contract complies with specifications detailed in the respective statement of work and passes agreed acceptance testing suites. Except as explicitly stipulated in writing, services are provided 'as is', and Sloydlabs disclaims any implied warranties of merchantability or uninterrupted system uptime.
Non-Disclosure
Both parties agree to protect and keep secret all trade secrets, unreleased features, customer datasets, and technical documentation shared in connection with our services. This obligation survives termination of commercial agreements for a period of five (5) years.
Governing Law
These Terms are governed by and construed in accordance with applicable laws governing commercial software contracts, without regard to conflict of law principles.
